1Overview

Dental Nexus provides a manual and technology-assisted matching service connecting:

• Clinicians & dental practices
• Dental labs
• Certified treatment planners
• CAD/CAM designers
• Manufacturers

Dental Nexus is not a medical provider, does not offer clinical advice, and does not assume responsibility for treatment outcomes.

The Platform currently provides:

• Manual matching between users
• Secure case sharing
• File exchange
• Communication support
• Optional use of third-party CAD software
• Experimental workflow tools

2Eligibility

You may use the Platform only if you:

• Are legally able to enter into contracts in your country
• Are appropriately licensed (clinicians) or qualified (planners/designers)
• Comply with all applicable dental/medical regulations in your region
• Do not use the Platform to bypass regulatory requirements

We may suspend or remove users for non-compliance.

3Nature of the Service

Dental Nexus is a marketplace and workflow facilitator, not a clinical service provider. We do not:

• Provide orthodontic or dental treatment
• Verify clinical accuracy of submitted designs
• Supervise patient care
• Act as manufacturer of record

Users remain fully responsible for:

• Clinical decisions
• Patient consent
• Regulatory compliance
• Quality of provided plans, models and files
• Manufacturing safety

4User Responsibilities

Clinicians & Labs. You agree to:

• Ensure proper patient consent before uploading files
• Verify the accuracy and safety of all submitted designs
• Follow local and national regulations relating to medical devices
• Maintain responsibility for treatment outcomes

Planners & Designers. You agree to:

• Provide designs that meet professional standards
• Only work within your training and competence
• Maintain all necessary software licences
• Follow all regulatory requirements in your region

Manufacturers. You agree to:

• Produce devices that comply with local regulatory requirements
• Validate and verify all design files before manufacturing
• Retain responsibility as manufacturer of record

5Payments

During the initial launch period:

• Matching may be free or subject to pilot pricing
• Future fees (e.g., a 12% service fee) may apply
• Dental Nexus may test optional subscription tiers

Any fees will be communicated before charging.

6Third-Party Tools & Integrations

The Platform may connect users to third-party software (e.g., CAD tools, AI tools, cloud storage). Dental Nexus:

• Does not own these tools
• Does not guarantee their performance
• Is not responsible for costs associated with them

7Intellectual Property

• Clinicians and labs own patient data
• Planners and designers own their design process and methodology
• Dental Nexus owns the Platform, matching algorithms and workflow IP
• Users grant us a licence to use anonymised data to improve the Platform

8Prohibited Use

You must not:

• Upload patient data without consent
• Reproduce or share other users' confidential information
• Misrepresent your skills, qualifications or identity
• Upload malicious files
• Attempt to reverse-engineer the Platform

9Limitation of Liability

To the maximum extent permitted by law:

• Dental Nexus is not liable for treatment outcomes, clinical decisions, design accuracy, manufacturing errors or regulatory compliance failures
• Dental Nexus provides the Platform "as-is" without guarantees
• Our total liability is limited to the fees paid in the past 12 months (if any)

10Suspension or Termination

We may suspend or terminate accounts that:

• Violate these Terms
• Breach laws or ethical standards
• Present clinical risk
• Misuse the Platform

You may stop using the Platform at any time.

11Governing Law

These Terms are governed by the laws of [TO BE DETERMINED], without regard to conflict of law principles.

Disputes will be resolved through good-faith negotiation before legal action. Any legal proceedings shall be brought in the courts of [TO BE DETERMINED].

12Updates

We may update these Terms as we expand the Platform. Changes will be posted on the website with a new effective date.
